Please read these Terms of Service carefully before using ShareMed.

1. Acceptance of Terms

By accessing or using ShareMed ('the Platform'), you agree to be bound by these Terms of Service ('Terms'). If you do not agree to these Terms, you may not use the Platform.

You must be at least 18 years old and have the authority to bind your organization to these Terms.

2. Description of Service

ShareMed provides a platform that connects healthcare organizations, pharmaceutical companies, and other entities ('Users') for the purpose of redistributing medical medicine supplies. The Platform includes:

  • Listing and search functionality for medical supplies
  • User verification (KYC) services
  • Matching algorithms to connect donors and requesters
  • Communication tools
  • Documentation and compliance tracking

Important: ShareMed is a facilitator only. We do not own, sell, or distribute medical supplies. All transactions are between Users.

3. User Accounts

3.1 Registration

To use the Platform, you must:

  • Register an account with accurate information
  • Complete KYC Level 1 verification
  • Choose an account type (Donor or Requester)
  • Maintain the security of your account credentials

3.2 Account Types

Donor Accounts: For organizations with medical supplies to donate or sell

Requester Accounts: For organizations seeking medical supplies

3.3 Account Security

You are responsible for:

  • Maintaining the confidentiality of your password
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use

4. User Responsibilities

As a User of ShareMed, you agree to:

  • Provide accurate, complete, and current information
  • Comply with all applicable laws and regulations
  • Ensure the quality and safety of listed medical supplies
  • Maintain proper documentation (licenses, certifications, etc.)
  • Respond promptly to inquiries and communications
  • Honor commitments made through the Platform
  • Report any issues or concerns immediately

5. Prohibited Activities

You may NOT:

  • List expired, damaged, or counterfeit medical supplies
  • Engage in fraudulent or deceptive practices
  • Violate any laws or regulations
  • Misrepresent your identity or organization
  • Interfere with the Platform's operation
  • Attempt to circumvent security measures
  • Use the Platform for unauthorized purposes
  • Harass, abuse, or harm other Users
  • Scrape or collect data without permission

6. Transactions

6.1 Platform Role

ShareMed is a facilitator only. We:

  • Do NOT own or control medical supplies
  • Do NOT guarantee the quality or legality of supplies
  • Do NOT process payments (Users arrange directly)
  • Do NOT handle shipping or logistics

6.2 User Obligations

Users are responsible for:

  • Verifying the quality and legality of supplies
  • Negotiating terms and donations or prices
  • Arranging payment and delivery
  • Obtaining necessary permits and licenses
  • Complying with import/export regulations

7. Intellectual Property

The Platform, including its design, code, logos, and content, is owned by ShareMed and protected by intellectual property laws.

You may not:

  • Copy, modify, or distribute our content
  • Use our trademarks without permission
  • Reverse engineer the Platform

By posting content on the Platform, you grant us a license to use, display, and distribute that content as necessary to provide our services.

8. Limitation of Liability

The Platform is provided "AS IS" without warranties of any kind.

We do not warrant the accuracy, completeness, or reliability of content.

We are not liable for any indirect, incidental, or consequential damages.

You agree to indemnify and hold harmless ShareMed from any claims arising from your use of the Platform or violation of these Terms.

9. Dispute Resolution

9.1 Governing Law

These Terms are governed by the laws of Switzerland without regard to conflict of law principles.

9.2 Arbitration

Any disputes shall be resolved through binding arbitration in accordance with Swiss law.

9.3 Class Action Waiver

You agree to resolve disputes on an individual basis and waive any right to participate in class actions.

10. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify Users of material changes via:

  • Email notification
  • Platform announcement
  • Updated 'Last Modified' date

Continued use of the Platform after changes constitutes acceptance of the new Terms.

11. Termination

11.1 By You

You may terminate your account at any time by contacting us.

11.2 By Us

We may suspend or terminate your account if you:

  • Violate these Terms
  • Engage in prohibited activities
  • Fail to maintain KYC verification
  • Pose a risk to other Users or the Platform

11.3 Effect of Termination

Upon termination:

  • Your access to the Platform will cease
  • Outstanding obligations remain in effect
  • Certain provisions survive termination

12. Miscellaneous

12.1 Entire Agreement

These Terms constitute the entire agreement between you and ShareMed.

12.2 Severability

If any provision is found invalid, the remaining provisions remain in effect.

12.3 No Waiver

Our failure to enforce any right does not constitute a waiver of that right.
